End User License Agreement

This End User License Agreement (“Agreement”) is a legal agreement between you (“you”) and Pleach Inc. (“Pleach,” “we,” “us”) governing your installation and use of the Pleach Workforce desktop application, including any updates, components, and accompanying documentation (the “Software”). By clicking “I Agree,” or by installing or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software. This Agreement supplements, and controls over in the event of a conflict for the Software, the Pleach Terms of Service.
Agreement version: eula-2026-07. The Software records which version of this Agreement you accepted; if we publish a materially updated version, the Software will ask you to review and accept it again.
License grant
Subject to your compliance with this Agreement, Pleach grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control, solely for your internal use to operate and orchestrate your own AI coding agents. The Software is licensed, not sold, and Pleach reserves all rights not expressly granted.
Restrictions
You will not, and will not permit others to: (a) copy, modify, or create derivative works of the Software except as permitted by applicable law; (b) reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law; (c) rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software to any third party; (d) remove or alter any proprietary notices; (e) use the Software to build a competing product or service; or (f) circumvent or disable any license, security, or usage-control mechanism of the Software.
Alpha software
The Software is pre-release, early-access “Alpha” software provided for evaluation. It may contain bugs, errors, and instabilities, may change or be discontinued at any time, and is not intended for use in production or mission-critical environments. The Software runs and orchestrates autonomous agents that can read, write, and execute code and commands on your systems; you are solely responsible for supervising that activity, for the actions the agents take on your behalf, and for maintaining backups. You assume all risk arising from your use of Alpha software.
Data & telemetry
To operate, secure, and improve the Software, Pleach collects diagnostic and operational telemetry from the desktop application and transmits it to our logging provider, Axiom (operated by Axiom, Inc.), acting as our processor. This telemetry includes application log events and errors, the application version and build channel, and a randomly-generated installation identifier; when you are signed in to a Pleach account, it also includes your account identity (such as your user and organization identifiers and associated email). Log payloads are scrubbed to redact recognized secrets (such as tokens, passwords, and API keys) before transmission.
When you accept this Agreement, Pleach records your acceptance and transmits it through the same telemetry pipeline for compliance and audit purposes. That acceptance record includes the Agreement version you accepted, the date and time of acceptance, the name and email address you provide at the acceptance screen, your installation identifier, and, if available, your signed-in account identity. We use this information to maintain a durable record that a specific person accepted a specific version of this Agreement. We do not sell this information. Your use of the Software and the data described here is also subject to our Privacy Policy.
Acceptable use
You will use the Software only in compliance with this Agreement and all applicable laws, and only on systems and repositories you are authorized to access. You will not use the Software to develop, deploy, or facilitate anything unlawful, infringing, or harmful, or in violation of the terms of any third-party service (including AI model providers and code hosts) that the Software interacts with on your behalf. You are responsible for safeguarding any credentials and access tokens the Software uses.
Intellectual property
The Software, and all intellectual-property rights in it, are and remain owned by Pleach and its licensors and are protected by law. “Pleach” and associated marks and logos are trademarks of Pleach; this Agreement grants you no right to use them. As between you and Pleach, you retain all rights in your own code, repositories, and content. If you send us feedback or suggestions, you grant Pleach a non-exclusive, worldwide, royalty-free, perpetual license to use them to operate and improve the Software.
Disclaimer of warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PLEACH DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE, OR THAT IT WILL MEET YOUR REQUIREMENTS. YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING ANY OUTPUT OR ACTION PRODUCED BY THE SOFTWARE OR ITS AGENTS BEFORE RELYING ON IT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLEACH AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CA$100). BECAUSE THE SOFTWARE IS PROVIDED AT NO CHARGE DURING ALPHA, THESE LIMITATIONS REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES.
Term & termination
This Agreement is effective until terminated. It terminates automatically if you breach it, and we may suspend or terminate it at any time, including because the Alpha program ends. On termination, you must stop using and uninstall the Software. Sections that by their nature should survive termination — including Restrictions, Data & Telemetry, Intellectual property, Disclaimer of warranties, Limitation of liability, and Governing law — will survive.
Governing law
This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in British Columbia, Canada will have exclusive jurisdiction over disputes arising from this Agreement, subject to any mandatory consumer-protection rights in your place of residence.
Changes & contact
We may update this Agreement and will revise the version identifier and the “Last updated” date above; when we do, the Software will ask you to accept the updated Agreement.
